Terms of Service

These terms explain how LeadEminence.com and the Lead Eminence partner marketing network may be used, what publishers and advertisers agree to, and how commissions and payments work. Lead Eminence is operated by Leademinence (OPC) Private Limited.

1. Acceptance of these terms

These Terms of Service (the "Terms") are an agreement between you and Leademinence (OPC) Private Limited ("Lead Eminence", "we", "us"), which operates LeadEminence.com and the Lead Eminence partner marketing network (together, the "Service").

By visiting the site, creating an account, or participating in any programme on the network, you confirm that you have read these Terms and agree to be bound by them. If you do not agree, please do not use the Service.

If you are accepting these Terms for a company or other organisation, you confirm that you are authorised to bind that organisation, and "you" refers to that organisation.

2. Definitions

  • "Publisher" means a website owner, creator, app developer or other party that promotes an Advertiser's products through the network.
  • "Advertiser" means a brand or merchant that runs a programme on the network and pays commission for qualifying activity.
  • "Programme" means the commercial terms, creatives and rules an Advertiser makes available to Publishers.
  • "Qualifying Action" means a sale, lead or other event that an Advertiser has agreed to pay commission on and that is validly tracked and approved.
  • "Account" means the credentials and dashboard we issue to you for accessing the Service.

3. Eligibility and account registration

You must be at least eighteen years old and legally able to enter into a contract to use the Service. Accounts are reviewed before approval, and we may decline or revoke an application at our discretion.

You agree to provide accurate, current information during registration and to keep it up to date, including payment and tax details. You are responsible for all activity that occurs under your Account and for keeping your credentials confidential. Tell us at support@leademinence.com as soon as you suspect unauthorised access.

One party may hold only one Account unless we have agreed otherwise in writing.

4. Publisher obligations and prohibited methods

Publishers must follow the rules of each Programme they join, disclose affiliate relationships as required by applicable advertising and consumer-protection law, and present offers truthfully.

The following are prohibited on the network and may lead to reversal of commissions and termination:

  • Generating clicks or Qualifying Actions through automation, incentivised traffic, cookie stuffing, forced clicks, adware, or any other artificial means.
  • Bidding on an Advertiser's trademarks or running search activity that a Programme prohibits.
  • Using an Advertiser's brand, creatives or trademarks outside the licence granted in the Programme, or altering creatives without permission.
  • Sending unsolicited email or messaging, or promoting offers through spam, malware or deceptive redirects.
  • Placing offers alongside unlawful, hateful, defamatory, adult or infringing content.
  • Misrepresenting pricing, availability, discounts or the identity of the Advertiser.

5. Advertiser obligations

Advertisers are responsible for the accuracy of their Programme terms, creatives, product information and offers, and for ensuring these comply with applicable law.

Advertisers agree to implement and maintain tracking correctly, to review Qualifying Actions within the timeframe stated in their Programme, to approve or reject them in good faith, and to fund commissions and fees when due. Reductions in commission rates or material changes to Programme terms apply prospectively and must be communicated through the network.

6. Tracking, commissions and payment

Commission is earned only on Qualifying Actions recorded by our tracking and approved by the relevant Advertiser. Our records are the reference point for calculating amounts payable, absent manifest error.

Approved commissions are paid on the schedule published in your dashboard, provided your Account meets the applicable payment threshold and you have supplied valid payment and tax information. Payment processing fees, currency conversion costs and bank charges may be deducted where stated.

You are responsible for any taxes arising on amounts you receive. We may withhold amounts where required by law.

Balances on Accounts that remain inactive for an extended period may be handled as set out in your dashboard or as required by applicable law.

7. Reversals, chargebacks and audits

Commissions may be reversed where a transaction is cancelled, returned, refunded, charged back, duplicated, unpaid, fraudulent, or found to breach Programme rules. Reversed amounts are deducted from current or future balances.

We may audit traffic and activity at any time and may withhold payment while an investigation is open. Where activity is found to be artificial or in breach of these Terms, we may reverse related commissions in full and close the Account.

8. Intellectual property and licences

The Service, including its software, dashboards, reports, text, design and the Lead Eminence name and logo, belongs to Leademinence (OPC) Private Limited or its licensors and is protected by intellectual property law. Nothing in these Terms transfers ownership of it to you.

Advertisers grant Publishers a limited, non-exclusive, revocable licence to display the creatives and marks supplied through a Programme, solely to promote that Programme and only while participation continues. Publishers grant us a limited licence to use their name, logo and placement details for the purpose of operating the network and matching them with Programmes.

9. Confidentiality

Commission rates, Programme terms, performance data and other non-public information exchanged through the Service are confidential. You agree not to disclose them to third parties except to advisers or personnel who need them and are bound by equivalent obligations, or where disclosure is required by law.

10. Term and termination

These Terms apply for as long as you use the Service. Either party may close the relationship at any time by giving notice through the dashboard or by writing to support@leademinence.com.

We may suspend or terminate an Account immediately where we reasonably believe there has been fraud, a serious breach of these Terms, or a risk to the network, Advertisers or Publishers. On termination, licences granted here end, and you must stop displaying creatives and marks obtained through the network. Commissions validly earned and approved before termination remain payable, subject to reversal rights above.

11. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that the Service will be uninterrupted or error free, and we do not guarantee any level of traffic, conversions, earnings or revenue. Any figures shown on this site are illustrative examples, not projections. We are not a party to the underlying commercial relationship between an Advertiser and a customer.

12. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, arising out of or relating to the Service.

Our total aggregate liability arising out of or relating to these Terms is limited to the total amounts paid or payable by us to you, or by you to us, in the three months immediately before the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless Leademinence (OPC) Private Limited, its officers, employees and agents from claims, damages, losses and reasonable legal costs arising from your use of the Service, your content or promotional methods, your products or offers, or your breach of these Terms or applicable law.

14. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, give notice through the Service. Continuing to use the Service after an update means you accept the revised Terms.

15. Governing law and general provisions

These Terms are governed by the laws of India, and the courts of India have jurisdiction over any dispute arising from them, without prejudice to any mandatory rights you have under the law of your own country of residence.

If a provision is found unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them to an affiliate or successor. These Terms, together with the Programme terms you accept, form the entire agreement between us on this subject.
